These Terms & Conditions (“Terms”) govern your access to and use of the Site and any content, tools, scheduling links, forms, downloads, and communications (including email and SMS/text) provided by Bluebird (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree, do not use the Services.
1. Eligibility & Business Use
The Services are intended for users 18 years or older and for business use. You represent that you have authority to accept these Terms on behalf of your organization.
2. Not Professional Advice / Engagements Governed by Agreement
Information on the Site is for general informational purposes only and does not constitute legal, tax, or investment advice. Any paid work you engage us to perform will be governed by a separate Master Services Agreement, Statement of Work, and/or Order Form (each, an “Engagement Agreement”). If these Terms conflict with an Engagement Agreement, the Engagement Agreement controls for the covered services.
3. Accounts, Bookings, and Submissions
- Scheduling & Tools. We may use Microsoft Bookings, Calendly, or similar tools. You agree to the tool’s terms and to provide accurate information.
- Your Content. Do not upload confidential or privileged client data through public forms. If you submit materials, you grant Bluebird a non-exclusive, royalty-free license to use them solely to provide the Services.
Prohibited Submissions. You will not submit content that is unlawful, infringing, confidential without authorization, or contains malware.
4. Acceptable Use
You agree not to (a) copy, scrape, or reverse engineer the Site; (b) interfere with its security or availability; (c) use it for unlawful, harmful, or misleading purposes; or (d) misrepresent your affiliation with Bluebird.
5. Intellectual Property
All content on the Site (text, logos, graphics, videos, downloads) is owned by or licensed to Bluebird and protected by law. You may not reproduce, distribute, or create derivative works without our prior written consent, except for limited personal, internal business use of publicly available pages.
6. Third-Party Links & Integrations
The Site may link to third-party websites or embed third-party tools (e.g., Microsoft Bookings, Calendly, video players, analytics). We are not responsible for third-party sites, tools, or their privacy/security practices.
7. A2P 10DLC-Compliant SMS/Text Terms
We may operate a business messaging program to send transactional (e.g., appointment confirmations/updates, service notices) and optional marketing messages.
- Opt-In. By providing your mobile number and taking an affirmative action (e.g., checking an opt-in box on a form, replying to a keyword, or clicking a confirmation link), you consent to receive SMS/text messages from Bluebird at the mobile number you provide. Consent for marketing texts is not a condition of purchase.
- Message Frequency. Message frequency varies by interaction (typically a few msgs/month).
- Costs. Message and data rates may apply.
- Opt-Out. Text STOP to cancel. One final confirmation will be sent.
- Help. Text HELP for help, or contact steven@bluebird-partners.com / 949-522-5891.
- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
- Eligibility/Age. You represent you are 18+ and the owner or authorized user of the mobile number provided.
- Data Use & Privacy. We use your number and message data to operate the messaging program, maintain opt-in/opt-out records, and comply with law/carrier rules. See our Privacy Policy for details. We maintain consent logs (time/date, source, content) per A2P 10DLC requirements.
- Changes/Suspension. We may change or suspend the messaging program at any time. We may block numbers that appear to be unauthorized or abusive.

8. Email Communications
By submitting your email, you consent to receive service and (where permitted) marketing emails. You can unsubscribe from marketing emails at any time via the link in the email. Transactional/administrative emails may continue.
9. Confidentiality & Security
Do not transmit sensitive client data through public web forms. For engagements, confidentiality obligations will be set in the applicable Engagement Agreement. We implement reasonable safeguards, but no system is perfectly secure.
10. Disclaimers
You agree to indemnify and hold harmless Bluebird Partners, its agents, and partners from any claims, damages, or expenses resulting from your use of our services or violation of these Terms.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUEBIRD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR (C) AGGREGATE LIABILITY EXCEEDING US $100 FOR CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to defend, indemnify, and hold harmless Bluebird from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
13. Compliance with Laws
You will comply with all applicable laws and regulations (including privacy, marketing, and anti-spam laws such as TCPA, CAN-SPAM, CASL where applicable, and carrier/A2P 10DLC rules).
14. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of laws rules.
- Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by emailing steven@bluebird-partners.com with a description of your claim. If unresolved after 30 days:
- Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration in Orange County, California, administered by JAMS under its applicable rules. YOU AND BLUEBIRD WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of IP or breach of confidentiality.
If arbitration is found unenforceable as to a specific claim, the claim will proceed in the state or federal courts located in Orange County, California, and the parties consent to personal jurisdiction and venue there.
15. Changes to the Services and Terms
We may modify or discontinue any part of the Services. We may update these Terms from time to time; the “Effective Date” will reflect the latest version. Your continued use of the Services after changes constitutes acceptance.
16. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.
17. Miscellaneous
- Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement regarding the Site.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset transfer.
Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
